OYO Gears Up for ₹6,650 Crore IPO: Most Funds to Be Used for Debt Reduction

Hospitality major OYO, operated by its parent company Prism, is preparing for a major stock market debut with a proposed initial public offering (IPO) worth ₹6,650 crore (around $1.5 billion). The company has filed updated documents with market regulator SEBI, outlining its plan to strengthen its financial position ahead of the listing.

Major Focus: Reducing Debt

A key highlight of the IPO structure is OYO’s decision to use a large portion of the funds—around 75% of the total issue size—to repay existing debt.

Out of the total proceeds, approximately ₹4,987.5 crore is expected to go toward debt reduction. The remaining funds will be used for general corporate purposes.

The company aims to significantly clean up its balance sheet, which it believes will improve long-term financial stability and investor confidence once it is listed on the stock market.

IPO Structure and Possible Changes

The proposed IPO will be a fresh issue of shares only, meaning no existing shareholders will sell their stake through an Offer for Sale (OFS).

However, the final size of the IPO may change depending on market conditions. The company is also considering a pre-IPO placement of up to ₹1,330 crore, which could reduce the overall IPO size if executed.

Stronger Financial Performance

OYO’s financial position has shown notable improvement in recent years. During the first nine months of FY26, the company reported:

  • Revenue from operations: ₹6,941 crore
  • Net profit: ₹748 crore (11% year-on-year growth)

Operational efficiency has also improved significantly. In FY25, OYO’s EBITDA more than doubled, rising from ₹953 crore to ₹2,127 crore, reflecting stronger business performance and better cost management.

What This Means for Investors

By prioritizing debt repayment, OYO is signaling a shift toward a more stable and sustainable financial model. Lower debt levels generally reduce financial risk and can improve investor perception during and after listing.

The upcoming IPO is being positioned as a key milestone for the company as it prepares to enter public markets with improved profitability and a cleaner balance sheet.
